My Dray Rate, Inc. (“MDR,” “My Dray Rate,” “we,” “our,” or “us”) provides a cloud-based logistics technology platform that offers drayage pricing, carrier bidding, container tracking, shipment alerts, and related services.

These Terms of Service (“Terms”) govern your access to and use of the MDR website, software platform, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy located at Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” and “your” refer to that entity and its authorized users.

If you do not agree to these Terms, do not use the Services.

2. Description of Services

MDR is a software platform that may provide:

  • Live drayage pricing
  • Carrier bidding and marketplace functionality
  • Container and vessel tracking
  • Last Free Day (LFD) alerts
  • Detention, demurrage, and per diem notifications
  • Shipment booking tools
  • API integrations
  • Reporting and analytics
  • Other logistics automation tools

MDR is a technology provider only and is not acting as a motor carrier, ocean carrier, customs broker, terminal operator, or transportation intermediary unless expressly agreed in a separate written contract.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

4. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • Restricting access to authorized users only;
  • Promptly notifying MDR of unauthorized use; and
  • All activity that occurs under your account.

You may not share login credentials except as permitted by your subscription plan.

5. Subscription and Payment

Use of certain Services may require payment of subscription fees under a separate Subscription Order Form or online purchase process.

All fees are:

  • Billed in advance;
  • Non-refundable unless expressly stated otherwise;
  • Exclusive of applicable taxes; and
  • Due according to the payment terms specified in the applicable Order Form or invoice.

MDR may suspend or terminate access for nonpayment.

6. Acceptable Use

You agree not to:

  • Reverse engineer or decompile the Services;
  • Copy or create derivative works;
  • Scrape or extract carrier or pricing data;
  • Resell access without written permission;
  • Upload malicious code;
  • Interfere with platform security;
  • Use the Services unlawfully; or
  • Use the Services to compete with MDR.

7. Customer Data

You retain ownership of data you upload to the Services.

You grant MDR a non-exclusive, worldwide, royalty-free license to use your data as necessary to provide, maintain, support, secure, and improve the Services.

MDR may use aggregated and anonymized data for analytics and product development.

8. Intellectual Property

MDR and its licensors retain all rights, title, and interest in and to the Services, including software, algorithms, APIs, workflows, databases, and related intellectual property.

No rights are granted except those expressly provided in these Terms.

9. Third-Party Services

The Services may rely on third-party data and integrations, including carriers, ports, terminals, and external tracking providers.

MDR does not guarantee the accuracy, completeness, or availability of third-party data or services.

10. Service Availability

MDR will use commercially reasonable efforts to maintain availability of the Services and targets a platform uptime objective of 99.9%, excluding scheduled maintenance, emergency maintenance, and events outside MDR’s reasonable control.

11. Confidentiality

Any non-public information disclosed between the parties shall be treated as confidential and protected using reasonable care.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

MDR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

MDR DOES NOT GUARANTEE THAT:

  • Carrier rates will be accepted;
  • Shipments will move as planned;
  • Data will be error-free;
  • Fees such as demurrage, detention, or per diem will be avoided; or
  • Third-party systems will be available.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

MDR’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MDR DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

MDR SHALL NOT BE LIABLE FOR:

  • Demurrage
  • Detention
  • Per diem
  • Chassis fees
  • Customs penalties
  • Carrier failures
  • Port congestion
  • Vessel delays
  • Data inaccuracies

14. Indemnification

You agree to defend, indemnify, and hold harmless MDR and its officers, directors, employees, and agents from claims arising from:

  • Your data;
  • Your use of the Services;
  • Your violation of these Terms; or
  • Your violation of applicable laws.

15. Suspension and Termination

MDR may suspend or terminate your access if:

  • Fees are unpaid;
  • You breach these Terms;
  • Your use threatens security or operations; or
  • MDR is required to do so by law.

Upon termination, your right to use the Services immediately ends.

16. Privacy

Your use of the Services is subject to MDR’s Privacy Policy located at Privacy Policy.

17. Governing Law

These Terms are governed by the laws of the State of Florida.

Any dispute arising out of these Terms shall be brought exclusively in the state or federal courts located in Tampa or Hillsborough County.

18. Changes to These Terms

MDR may update these Terms from time to time by posting revised terms on www.mydrayrate.com/terms-of-service. Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
